Welcome to VNDRS.AI ("we," "our," "us"). These Terms & Conditions ("Terms") govern your use of the VNDRS.AI website, platform, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.
1. Eligibility
- You must be at least 18 years old and authorized to enter into binding agreements.
- You represent that any company or entity you register on the Platform is properly authorized, licensed, and insured (if applicable).
2. Accounts & Registration
- Users may register as General Contractors (GCs) or Subcontractors (Subs).
- Companies may have multiple users linked to a single company profile.
- You agree to provide accurate, current, and complete information.
3. Platform Services
VNDRS.AI provides comprehensive construction networking services:
Core Networking Features:
- Job and project postings by General Contractors
- Application submissions by Subcontractors
- Company network and profile discovery
- Credit-based messaging and introduction system
- Real-time notifications and alerts
Company Profile Management:
- Detailed company profiles with scopes of work and service regions
- Crew size and operational capacity information
- Safety compliance data (EMR/TRIR ratings, certifications)
- License and insurance documentation
- Performance tracking and analytics
Additional Platform Features:
- Equipment marketplace for buying, selling, and renting
- File sharing and document management system
- Industry news and market insights
- Dashboard analytics and performance metrics
- Multi-user company account management
Important: VNDRS.AI is a technology platform that facilitates connections between construction professionals. We do not provide construction services, employment placement, staffing, or guarantees regarding work outcomes, project success, or business relationships.
4. Subscriptions, Credits & Payments
- Subscription plans grant monthly credits, subject to rollover and cap policies.
- Credits are non-transferable, non-refundable, and expire if unused past defined caps.
- Billing is recurring until canceled or paused in accordance with our subscription policy.
- Paused accounts retain existing credits but cannot post or apply until reactivated.
5. User Responsibilities & Conduct
Legal Compliance:
- Maintain all required business licenses, permits, and insurance coverage
- Comply with local, state, and federal construction regulations
- Ensure all safety certifications and compliance ratings are current and accurate
- Fulfill all contractual obligations made through the Platform
Platform Usage Standards:
- Provide accurate and complete company profile information
- Maintain professional conduct in all communications
- Post only legitimate job opportunities and project requirements
- Respect intellectual property rights of other users
- Use file sharing responsibly and legally
Prohibited Activities:
- Creating false profiles or misrepresenting company capabilities
- Spam, harassment, or discriminatory behavior
- Attempting to circumvent the credit or subscription system
- Sharing confidential information without permission
- Using the Platform for illegal activities or fraud
- Automated data scraping or unauthorized system access
6. Disclaimers & Limitation of Liability
- VNDRS.AI does not vet, endorse, or guarantee contractors, subcontractors, projects, or outcomes.
- All contracts, payments, and work agreements are strictly between GCs and Subs.
- The Platform is provided "as is" without warranties of any kind.
- To the fullest extent permitted by law, VNDRS.AI shall not be liable for indirect, incidental, or consequential damages arising from your use of the Platform.
7. Termination
- We may suspend or terminate accounts for violations of these Terms or misuse of the Platform.
- Users may terminate accounts at any time; subscription fees already paid are non-refundable.
8. Privacy
Your use of the Platform is also governed by our Privacy Policy.
9. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
10. Changes
We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance.
